ELR Web Design Agency Agreement Terms

1. General Terms

  • The contract is for a period of 12 months and is automatically renewed annually on the date of signing, with an increase in the monthly fees based on the annual inflation rate published on the Government of Quebec/Canada website for the year that has just ended.
  • The client grants ELR Agency the right to use all material created by ELR Agency for ELR Agency’s marketing purposes.
  • The client authorizes ELR Agency to use the website footer at its discretion to display the agency’s name.

2. Related Tools

If an increase occurs in the costs of Webflow hosting, GoHighLevel, or any other tool used for the client’s website, the client agrees to cover these increased fees since ELR Agency has no control over these elements.

Any additional fees generated by the use of platforms, tools, or related services will be re-billed to the client, and an additional 15% administration fee will be charged if the client does not declare these expenses at least two weeks in advance.

3. Pricing and Payment Terms

Amount and frequency: The cost and payment frequency are defined in the Package section.
Initial payment: The first payment will be required upon signing the contract. It will be applied to the first month of service to cover the website launch. The launch date will establish the recurring monthly payment date (for example, if the contract is signed on the 17th of the month, and the website is designed and launched on the 24th of the month, all future payments will be due on the 24th of subsequent months).
Additional plugins and programs: Any additional plugins or software required will be subject to the Client’s approval and will be at their expense.
Domain name: If ELR Agency purchases a domain name for the Client, it will be leased according to the cost established in the package.

4. Termination

Prior notice: Any request to terminate the subscription must be submitted in writing to the Provider, with acknowledgment of receipt, at least 60 days before the end of the current contract period. In the case of early termination, the full remaining contractual balance will become due and must be paid to ELR Agency.

5. Limitation of Liability

Results: The Provider does not guarantee any specific results in terms of performance, client acquisition, or profitability. Results depend on factors outside the Provider’s control.
Intellectual property: The website code, creative assets (images, videos, texts, etc.), and any other material produced by ELR Agency remain its intellectual property. The Client may not use them without acquiring the rights from ELR Agency.
The website and domain name may be leased to the Client for the duration of the agreement. If the Client wishes to purchase the website or domain name, purchase and transfer fees may apply.

6. Client Responsibilities

The Client agrees to use the services in compliance with applicable laws and best practices. Any abusive, unlawful use, or use contrary to the service or La Forge platform terms of use may result in immediate termination without refund.

7. Late Payments

Any late payment will be subject to interest charges of 2% per month (24% annually) on the outstanding amount until full settlement.
If a payment is missed, an automated reminder will be sent, and unless an agreement is reached, the website may be taken offline or users redirected to another address until payment is received.

8. Acceptance of Third-Party Platform Policies

The Client acknowledges and accepts that ELR Agency uses third-party platforms to provide certain services, including but not limited to Stripe for payment processing. By accepting this agreement, the Client agrees to comply with the usage policies and terms of these third-party platforms, including any applicable service fees. ELR Agency is not responsible for fees imposed by these platforms or for any dispute between the Client and such entities.

9. Approval of Deliverables and Modifications

Each design, page, and text delivered under this contract must be approved by the Client in writing, either by email or any other electronic communication method agreed upon by the parties. Any written approval by the Client regarding a part of the project will be considered final.

If the Client wishes to make changes to a deliverable that has already been approved, such changes will be billed at an hourly rate of CAD 200 (or any other applicable rate at the time of the modification request). An estimate may be provided upon request before modification work begins.

If a deliverable is neither approved nor rejected within seven (7) business days following its submission, it will be deemed tacitly accepted. In cases where a response delay beyond this period causes an overrun of the established schedule, late fees may be charged at the applicable hourly rate, based on the additional time required to adjust the project planning.

10. Payment terms

Initial Payment

  • Upon signing this agreement, the Client shall pay 50% of the set up fee (initial website cost). This payment covers project initiation as well as the first month of website service.

Monthly Payments

  • Beginning 30 days after the signing of this agreement, the monthly service fee will commence. This fee is due regardless of project delays caused by the Client’s choices, revisions, or other reasons, as the Agency cannot indefinitely modify or suspend work without compensation.

Final Payment and Launch

  • Once the website design and development are completed and approved by the client, he shall pay the remaining 50% balance of the website cost. This payment is required in order to officially launch the website.

Adjustment of Monthly Billing Date

  • Upon launch, the billing cycle for monthly service fees will be reset. The launch date shall serve as the new recurring billing date, with the first month after launch included in the final 50% payment made at launch
